Welcome to NeverMissIt. By accessing or using our service, you agree to be bound by these Terms of Service. Please read them carefully before using the platform.

1. Acceptance of Terms

By creating an account or using NeverMissIt in any way, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service. These terms apply to all visitors, users, and others who access or use NeverMissIt.

2. Description of Service

NeverMissIt is a birthday and special occasion reminder service that helps you remember important dates and send timely, personalized messages. The service includes:

  • Birthday and occasion tracking
  • Automated reminders via email, SMS, and push notifications
  • AI-assisted message suggestions
  • Calendar integration and export

3. Accounts

Registration

You must create an account to use NeverMissIt. You agree to provide accurate, complete, and current information during registration and to keep this information up to date.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at hello@globalpioneers.io if you suspect any unauthorized access to your account.

Account termination

You may delete your account at any time from your account settings. We reserve the right to suspend or terminate accounts that violate these terms or that have been inactive for an extended period.

4. Subscriptions and Payments

Free trial

New users may be eligible for a free trial period. At the end of the trial, you will be charged for the subscription plan you selected unless you cancel before the trial ends.

Billing

Paid plans are billed on a recurring basis (monthly or annually) through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method on each billing date.

Cancellation and refunds

You may cancel your subscription at any time. Your access will continue until the end of the current billing period. We do not provide refunds for partial billing periods, except where required by applicable law.

Price changes

We reserve the right to change our pricing with at least 30 days' notice. Continued use of the service after a price change constitutes your acceptance of the new pricing.

5. Acceptable Use

You agree not to use NeverMissIt to:

  • Violate any applicable law or regulation
  • Send unsolicited communications or spam to others
  • Harass, abuse, or harm any person
  • Upload or transmit malicious code or content
  • Attempt to gain unauthorized access to the service or its systems
  • Resell or commercially exploit the service without our written consent
  • Use the service to store or share content that is illegal, offensive, or infringes on third-party rights

6. Your Content

You retain ownership of the content you add to NeverMissIt, including names, dates, and notes. By using the service, you grant us a limited license to store and process your content solely for the purpose of providing the service to you.

You are responsible for ensuring that the personal information you add about others (such as birthdays and contact details) is collected and stored in compliance with applicable privacy laws and with the knowledge of the individuals concerned.

7. AI-Generated Content

NeverMissIt uses artificial intelligence to suggest messages and content. AI-generated suggestions are provided as a convenience and may not always be accurate, appropriate, or suitable for your specific situation. You are solely responsible for reviewing and approving any content before sending it.

8. Third-Party Services

NeverMissIt integrates with third-party services to deliver its features, including Clerk (authentication), Stripe (payments), Resend (email), and Twilio (SMS). Your use of these integrations may be subject to those providers' own terms and privacy policies.

9. Intellectual Property

NeverMissIt and its original content, features, and functionality are owned by Global Pioneers and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the service without our express written permission.

10. Disclaimers

NeverMissIt is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or that reminders will always be delivered on time. Notification delivery depends on third-party providers and factors outside our control.

11. Limitation of Liability

To the fullest extent permitted by law, NeverMissIt and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including missed reminders or delivery failures. Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless NeverMissIt, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising out of your use of the service, your violation of these terms, or your violation of any rights of a third party.

13. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms with a new effective date and, where appropriate, by email. Your continued use of NeverMissIt after any changes constitutes your acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of the jurisdiction in which Global Pioneers operates, without regard to conflict of law principles. Any disputes arising from these terms or your use of the service shall be resolved in the courts of that jurisdiction.
